RESOLVED - T H A T the minutes of the meeting
held on 15th January, 2007 be approved as a correct
record.

DECLARATIONS OF INTEREST -
No declarations were received.

EXCLUSION OF PRESS AND PUBLIC -
RESOLVED - T H A T under Section 100A(4) of
the Local Government Act 1972, the press and public be excluded
from the meeting for the following item of business on the grounds
that they involve the likely disclosure of exempt information as
defined in Part 4 of Schedule 12A (as amended) of the Act, the
relevant paragraph of the Schedule being referred to in brackets
after the minute heading.

COUNSEL OPINION – RE COWBRIDGE SCHOOL TRUST (EXEMPT INFORMATION –
PARAGRAPH 24) –
The independent solicitor of the Trust
Committee, Ms. Giselle Davies of Geldard LLP, presented Counsel’s
Opinion to the Committee. At the Committee meeting on
6th November, 2006, the Trust Committee had considered
valuation and charitable issues which related to the Lower School,
Cowbridge Comprehensive School Site. Giselle Davies then met
with the Charity Commission to obtain their views on proposals
which might be made by the Vale of Glamorgan to the Cowbridge
Comprehensive School Trust in relation to the redevelopment of
Cowbridge Comprehensive School on one single site (at the upper
School site). The Charity Commission had been keen to
ensure that any proposals that were made by the Council to the
Trust could not be misconstrued and it had been considered
worthwhile to request Counsel Opinion on a variety of options
subject to an agreement by the Council to meet the cost of that
Opinion. The Opinion was presented for the Committee’s
consideration. A number of options were detailed in the
Opinion and Giselle Davies, advised that the next step would be for
the Opinion to be presented to the Vale of Glamorgan’s Cabinet for
their views and for the Cabinet to consider their position and the
options they may or may not wish to explore. The Cabinet
could then put any proposal on behalf of the Council to the Trust
Committee for its consideration.

RESOLVED – T H A T the report be forwarded to
the Vale of Glamorgan Council’s Cabinet for consideration and that
any proposals that the Cabinet would wish to make to the Trust be
presented in due course.
